ARTICLE I: NAME - The name of this organization shall be the North Country ATV Association Inc.
ARTICLE II: PURPOSE - The purpose of the NCAA Inc. is to promote the fine sport of ATV riding through safety training, public awareness, and respect for the environment. We are predominately a family oriented group that enjoys riding ATV’s, and having fun with a further goal of promoting user cooperation such as "shared trails" with other outdoor and environmentally aware people. We require the registration of ATV’s with the State of Vermont.
ARTICLE III: MISSION - Our mission shall be to create a statewide forum of open communication with ATV enthusiasts and the general public. The creation of a public/private partnership in the establishment of a positive environmentally sensitive, and safety aware program designed to raise the public image of the sport. A statewide trail system of new riding areas.
ARTICLE IV: COMPOSITION - The membership of the Club shall be open to all people who enjoy the sport of ATV riding or who support our purpose and mission from community leaders, elected officials and other who have an interest in the ATV vehicle recreation. Membership in this organization shall be non-discriminatory in basis without regard to gender, race, creed, color or national origin. All members shall have an equal state in the association and its activities. Membership shall be on going, subject to termination for good cause, as determined by the Executive Committee and the established policies of the association. Members need to have an atv which has been registered with the state of Vermont and with VASA as well, unfortunately VASA and the state of Vermont do not allow any motorcycles with the exception of two wheel drive motorcycles (example: Roccon Rangers) on trails which have been implemented for atv use.
ARTICLE V: OFFICERS AND BOARD OF DIRECTORS - The elected officers of this Club shall be President, Vice President, Secretary, Treasurer. These officers shall be the Executive Committee of the Club and shall have the authority to act on behalf of the Club between membership meetings. The Board of Directors, to include the Executive Committee, shall not exceed 10 members and shall be elected in accordance with these by-laws for the purpose of bringing representation from various communities of the Club. Each member of the Board of Directors shall have voice and vote. All members of the Board of Directors and Officers shall be at least 18 years of age.
DUTIES OF THE OFFICERS: The President shall have the primary responsibility for the legal and financial affairs of this organization. The President shall preside at meetings of the Club and the Executive Committee. The President shall appoint committees as deemed necessary. The duties shall include assisting officers and advisors as well as members to promote interest on part of each member in the Club activities. The President shall vote only in the event that the Executive Committee shall need a tiebreaker.The Vice President shall perform all the duties for the President in his absence. It is the responsibility of the Vice President to keep current on the affairs of the Club and to assist with the duties of the President when asked to.
The Secretary shall keep a record of the meetings of the association in a minute book. The Secretary shall be responsible for the legal records of this Club and perform other duties that generally fall in this office.
The Treasurer shall have primary responsibility for the financial records for the Club. The Treasurer shall oversee and record collection of dues and all other money due the Club. The duties also include, in a timely fashion, to pay lawful expenses authorized by the Executive Committee. This shall include presenting the board with a financial report at each meeting. At the discretion of the Executive Committee the Treasurer’s books shall be subject to an audit not less than annually by a committee appointed by the President consisting of Non Executive Committee members.
All Executive Committee members shall be elected by vote. All nominations will be at the March meeting, with elections at the April meeting, with terms beginning in May. All Officer terms will be 1 year. All members having current dues paid shall be eligible for election. No more than one person from one family may serve as an officer and/or board member at the same time.
ARTICLE VIa: MEMBERSHIP AND DUES -
Membership: $20.00 per year
All membership dues for new members are due upon signup and during the month of march for renewals. The membership year will be from March 1st to March 31st of the following year (example: March 1 2002 to March 31 2003).
ARTICLE VII: MEETINGS - The meetings of this Club will be held the 1st Friday of every month at 7:00 p.m., at a predetermined location. All meetings will consist of new and old business, and anything to better serve the goals of the Club.
ARTICLE VIII: COMMITTEES - The President may appoint such committees as necessary from time to time for specific purposes and upon completion of their assignment such committees shall be discharged.
ARTICLE IX: BY-LAW AMENDMENTS - These by-laws may be amended by a two-thirds vote of those members present at a meeting.
ARTICLE X: DISSOLUTION OF THE CLUB - This Club may be disbanded and dissolved by a two-thirds vote of a general membership upon determination that the Club is no longer viable or effective in achieving its purpose, mission or vision. Upon dissolution and after satisfying all legal and financial obligations and liabilities, the Executive Committee shall sell all remaining assets of the Club and the money be divided among all current club members.
